Share count rising — dilution

+14.1% over 4y

Diluted shares outstanding: 505.1M (2021) → 576.5M (2025)

Nasdaq, Inc. runs one of the world's largest stock exchanges, where buyers and sellers trade shares of thousands of companies. Beyond the exchange itself, Nasdaq sells financial technology software, market data, and compliance tools to banks, brokers, regulators, and other financial institutions around the world. It is best known for listing many of the biggest technology companies, including Apple, Microsoft, and Amazon.

Nasdaq makes money in two main ways: transaction fees when trades happen on its exchange, and recurring subscription fees for its data and software products. It operates globally, with significant revenue coming from Europe following its 2023 acquisition of Adenza, a financial crime management and regulatory software firm. That acquisition roughly doubled its technology business and shifted Nasdaq further away from pure exchange trading toward higher-margin, recurring software revenue — but it also added substantial debt, which remains a key financial risk the company is working to pay down.

Growth + cash flow

Nasdaq is a rare growth stock that's already generating positive cash flow while growing at 21%. The Winston Score doesn't fully credit this transition from "burner" to "earner."

The Winston Score above measures business quality today. Growth stocks often score lower because they invest in the future rather than maximising current profits. These metrics show what matters most for evaluating that future.
